Terms and Conditions for Purchase and Sale of Raw Cotton
Introduction
These Terms and Conditions (“Terms”) govern the purchase of raw cotton by the Mandator (buyer) and the sale of raw cotton by Chhapadi Organics (seller). These Terms also encompass other important matters related to APEDA, NPOP, GOTS, and Fairtrade standards. By entering into an agreement with Chhapadi Organics, you agree to be bound by these Terms. Please read them carefully.
1. Definitions
1.1. Mandator: The entity or individual purchasing raw cotton from Chhapadi Organics.
1.2. Chhapadi Organics: The seller of raw cotton, located in Patnagarh, Odisha.
1.3. APEDA: Agricultural and Processed Food Products Export Development Authority, responsible for promoting agricultural products in India.
1.4. NPOP: National Programme for Organic Production, which provides standards for organic farming in India.
1.5. GOTS: Global Organic Textile Standard, which sets requirements for organic fibers.
1.6. Fairtrade: A certification that ensures fair prices, wages, and working conditions for farmers and workers.
2. Product Information and Compliance
2.1. All raw cotton sold by Chhapadi Organics complies with APEDA, NPOP, GOTS, and Fairtrade standards. Certificates and documentation will be provided upon request.
2.2. The raw cotton is grown using sustainable farming practices, without the use of synthetic chemicals or genetically modified organisms.
3. Purchase and Sale
3.1. Order Placement: Orders must be placed in writing, specifying the quantity and quality of raw cotton required. Chhapadi Organics will confirm the order in writing.
3.2. Pricing: Prices for raw cotton will be agreed upon at the time of order confirmation. Prices are subject to change based on market conditions, and any changes will be communicated promptly.
3.3. Payment Terms: Payment terms will be specified in the invoice provided by Chhapadi Organics. Payments must be made within the agreed period to avoid any penalties or interest charges.
3.4. Delivery: Delivery terms, including the time and method of delivery, will be agreed upon at the time of order confirmation. Chhapadi Organics will ensure timely delivery, but is not responsible for delays caused by circumstances beyond its control.
4. Quality Assurance
4.1. Chhapadi Organics guarantees that the raw cotton meets the quality standards specified in the order.
4.2. The Mandator has the right to inspect the raw cotton upon delivery and must notify Chhapadi Organics of any quality issues within 7 days of receipt.
5. Returns and Refunds
5.1. If the raw cotton does not meet the agreed-upon quality standards, the Mandator may request a return or refund. The request must be made within 14 days of delivery.
5.2. Returns and refunds will be processed in accordance with Chhapadi Organics’ return policy, which will be provided upon request.
6. Compliance with Standards
6.1. APEDA Compliance: Chhapadi Organics complies with all APEDA regulations and guidelines for the export of agricultural products.
6.2. NPOP Compliance: All farming practices adhere to the standards set by NPOP, ensuring the integrity of organic production.
6.3. GOTS Compliance: Raw cotton meets GOTS certification requirements, ensuring environmental and social criteria are met throughout the production process.
6.4. Fairtrade Compliance: Chhapadi Organics upholds Fairtrade principles, ensuring fair wages, safe working conditions, and community development.
7. Confidentiality
7.1. Both parties agree to keep all business and transaction details confidential and not disclose any information to third parties without prior consent.
8. Dispute Resolution
8.1. Any disputes arising from these Terms will be resolved through mutual negotiation. If a resolution cannot be reached, the dispute will be referred to arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996.
9. Governing Law
9.1. These Terms are governed by the laws of India. Any legal proceedings will be conducted in the jurisdiction of Patnagarh, Odisha.
10. Amendments
10.1. Chhapadi Organics reserves the right to amend these Terms at any time. Amendments will be communicated in writing and will take effect immediately upon notification.
